Introduction

These Terms and Conditions govern your use of redflower.design (https://redflower.design) (the "Website" ), a platform that provides product design consulting services. By accessing or using the Website, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please refrain from using the Website.

Services

The Website offers product design consulting services, including:

  • User research, information architecture, interaction design, wireframing, prototyping, usability testing
  • Visual design, iconography, microinteractions, responsive design
  • Branding and identity design, content strategy, marketing design, product strategy
  • Inclusive design, WCAG compliance
  • Front-end development: HTML, CSS, JavaScript, React, Angular, Vue.js, etc.
  • Marketing design: such as websites, landing pages, and social media graphics.
  • Product strategy: product's goals, target audience, and value proposition.

The services provided are subject to availability and may be modified or discontinued at any time.

Client Obligations

As a client, you agree to:

  • Provide accurate and complete information as requested.
  • Pay all fees and charges associated with the services.
  • Cooperate fully with the consultant throughout the project.
  • Maintain confidentiality of any proprietary information disclosed by the consultant.

Intellectual Property

  • Consultant's Ownership: All intellectual property rights, including copyrights, trademarks, and patents, related to the consultant's work products shall remain the exclusive property of the consultant.
  • Client's Ownership: Any pre-existing intellectual property rights owned by the client will remain their property.
  • Joint Ownership: If the parties agree to co-own any intellectual property created during the project, the terms of such co-ownership will be specified in a separate agreement.

Fees and Payments

  • Fees: Fees for the services will be as agreed upon in a separate agreement or proposal.
  • Payment Terms: Payment is due upon completion of the project or as otherwise agreed upon.
  • Late Payments: In the event of late payment, the consultant may charge interest on the outstanding amount at a rate of 8% per month or the maximum rate permitted by law.

Confidentiality

Both parties agree to maintain the confidentiality of any non-public information disclosed to the other party during the course of the project. This obligation does not extend to information that is: (a) publicly known; (b) already in the possession of the receiving party without obligation of confidentiality; or (c) independently developed by the receiving party.

Limitation of Liability

Neither party shall be liable to the other for any indirect, incidental, special, or consequential damages arising out of or in connection with these Terms and Conditions or the services provided.

Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of state of Uttarakhand, India.

Amendments

The consultant may amend these Terms and Conditions from time to time. Any changes will be effective upon posting on the Website. Your continued use of the Website after such changes constitutes your acceptance of the amended terms.

Severability

If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Dispute Resolution

Any disputes arising out of or in connection with these Terms and Conditions shall be resolved through Mediation or Arbitration.
